Welcome to TheScribe. These Terms of Service ("Terms") govern your access to and use of TheScribe's website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

Eligibility

You must be at least 16 years old to use TheScribe. By using the Service, you represent and warrant that:

• You are at least 16 years of age
• You have the legal capacity to enter into these Terms
• You will provide accurate and complete information when creating an account
• You will not use the Service for any illegal or unauthorized purpose

Account Registration and Security

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

You may not share your account credentials or allow others to access your account. We reserve the right to suspend or terminate accounts that violate these Terms.

Service Description

TheScribe provides a note-taking and transcription service that includes:

• Audio-to-text transcription
• AI-powered note refinement and writing assistance
• Note organization with folders and tags
• Search and retrieval functionality
• Rich text editing for manual notes

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

Subscription Plans and Billing

Free Plan

The Free plan includes limited features and usage quotas. We may change the features and limitations of the Free plan at any time.

Pro Plan

The Pro plan is a paid subscription that provides additional features and unlimited usage. By subscribing:

• You authorize us to charge your payment method on a recurring basis
• Subscriptions automatically renew unless canceled before the renewal date
• You are responsible for all charges incurred under your account
• Prices are subject to change with 30 days' notice
• No refunds are provided for partial subscription periods

Cancellation

You may cancel your Pro subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain Pro access until the end of the paid period, after which your account will revert to the Free plan.

User Content and Ownership

You retain all ownership rights to the content you create, upload, or store using the Service ("User Content"). By using the Service, you grant us a limited license to:

• Store, process, and transmit your User Content to provide the Service
• Use AI services to transcribe and refine your User Content as requested
• Create backups of your User Content for data protection

This license ends when you delete your User Content or close your account. You are responsible for:

• Maintaining backups of your User Content
• Ensuring you have the right to upload and share your User Content
• Ensuring your User Content does not violate any laws or third-party rights

Acceptable Use Policy

You agree not to use the Service to:

• Violate any laws, regulations, or third-party rights
• Upload or share illegal, harmful, or offensive content
• Harass, abuse, or harm others
• Impersonate any person or entity
• Distribute spam, malware, or viruses
• Attempt to gain unauthorized access to the Service or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to access the Service without permission
• Interfere with or disrupt the Service or servers
• Use the Service for any commercial purpose without our written consent

Intellectual Property Rights

The Service, including its design, features, text, graphics, logos, and software, is owned by TheScribe and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission. The TheScribe name and logo are trademarks and may not be used without permission.

TheScribe AI Content

TheScribe AI powers our transcription and note refinement features:

• Transcription: Speech-to-text conversion of your audio recordings
• AI Refinement: Intelligent note refinement and writing assistance

By using TheScribe AI features, you acknowledge that:

• AI-generated content may contain errors or inaccuracies
• You are responsible for reviewing and verifying AI-generated content
• We do not guarantee the accuracy, completeness, or quality of AI-generated content
• You retain ownership of AI-refined content based on your original input
• Your content is processed by secure third-party AI infrastructure providers subject to our data processing agreements

We are not liable for any decisions you make based on AI-generated content or any consequences resulting from the use of such content.

Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Service will meet your specific requirements

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Indemnification

You agree to indemnify, defend, and hold harmless TheScribe, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if:

• You violate these Terms
• Your account has been inactive for an extended period
• We are required to do so by law
• We decide to discontinue the Service

You may terminate your account at any time through your account settings. Upon termination, your right to use the Service will immediately cease, and we may delete your User Content after 30 days.

Dispute Resolution and Governing Law

These Terms are governed by the laws of Romania, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through:

• Informal negotiation: We encourage you to contact us first to resolve any disputes informally
• Mediation: If informal negotiation fails, disputes may be submitted to mediation
• Jurisdiction: If mediation fails, disputes shall be resolved in the courts of Romania

For EU users, you also have the right to lodge a complaint with your local data protection authority or consumer protection agency.

Changes to These Terms

We may update these Terms from time to time. When we make significant changes, we will:

• Update the "Last updated" date at the top of this page
• Notify you via email if you have an account
• Display a prominent notice on our website

Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and TheScribe regarding the Service.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
